1. Agreement to Terms
By accessing or using Stoneflake's website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
2. Description of Services
Stoneflake operates as a sourcing platform connecting customers with vetted CNC machining suppliers. We facilitate the quoting process, quality management, and logistics coordination between customers and our supplier network. Stoneflake is not a manufacturer; all manufacturing work is performed by independent suppliers in our network.
3. Quote Requests and Orders
When you submit a quote request:
- You represent that you have the right to share any technical files and specifications provided
- Quotes are estimates and may be subject to change based on final specifications
- An order is not confirmed until you receive written confirmation from Stoneflake
- Lead times are estimates and may vary based on supplier capacity and material availability
4. Intellectual Property
You retain all intellectual property rights in your designs, drawings, and specifications. By submitting files to Stoneflake, you grant us a limited license to share these materials with our supplier network solely for the purpose of providing quotes and manufacturing services. We treat all customer designs as confidential.
5. Quality and Specifications
We work with our suppliers to ensure parts meet your specifications. Standard tolerances apply unless tighter tolerances are specified and quoted. We encourage customers to clearly communicate critical dimensions and requirements. First article inspection is available upon request.
6. Payment Terms
Payment terms will be specified in your quote and order confirmation. Standard terms require payment before shipment for new customers. We accept major credit cards and bank transfers. All prices are quoted in the currency specified and do not include applicable taxes unless stated.
7. Shipping and Delivery
Shipping costs and delivery times are provided with your quote. Risk of loss transfers to you upon delivery to the carrier. We are not responsible for delays caused by customs, carrier issues, or circumstances beyond our control.
8. Returns and Refunds
If parts do not meet agreed specifications, please contact us within 14 days of receipt. We will work with you to resolve issues through replacement, rework, or refund as appropriate. Custom parts manufactured to your specifications are not returnable unless defective.
9. Limitation of Liability
To the maximum extent permitted by law, Stoneflake's liability is limited to the amount paid for the specific order in question. We are not liable for indirect, incidental, or consequential damages, including lost profits or business interruption.
10. Indemnification
You agree to indemnify and hold harmless Stoneflake and its affiliates from any claims arising from your use of our services, your violation of these terms, or your infringement of any intellectual property or other rights of third parties.
11. Governing Law
These Terms of Service are governed by the laws of Canada. Any disputes will be resolved in the courts of Canada.
12. Changes to Terms
We reserve the right to modify these terms at any time. Changes will be effective upon posting to this page. Your continued use of our services after changes constitutes acceptance of the modified terms.
